The company said that it is offering 6.70 million shares of common stock, and certain selling shareholders, including Thayer | Hidden Creek Partners and Altus Capital Partners, are offering 2 million shares.
The underwriters have the option to purchase from the selling shareholders up to an additional 1.30 millionshares of common stock, on the same terms and conditions, to cover over-allotments, if any.
MISTRAS has been approved to apply to list on the NYSE under the ticker symbol "MG".
J.P. Morgan, Credit Suisse and BofA Merrill Lynch will act as joint book-running managers for the proposed offering. Robert W. Baird & Co. will act as a co-manager for the proposed offering. The public offering will be made only by means of a prospectus.
