Vendome Capital II Corp. Expands Board

Toronto, Ontario CANADA, Nov 17, 2008 (Filing Services Canada via COMTEX) -- VCT/P | Quote | Chart | News | PowerRating -- Vendome Capital II Corp. (VCT.P - TSX Venture), a capital pool company, is pleased to announce that Mr. Klaus Volcic and Ms. Lydia Kozich will join the Board of Directors effective immediately.

Mr. Klaus Volcic received his business administration degree from Vienna University of Economics and Business Administration. Between 1997 and 1999 Klaus Volcic worked with AXA Insurance Company as a sales controller, sales manager between 1999 and 2001 and until 2004 as a consultant to the company. He went on to join UNIQA, a European insurance company, as a sales manager until 2007. More recently, he joined Business and Technology Consulting GmbH ("BATCON") as a partner and lectures at two universities in Austria.

Ms. Lydia Kozich completed Business School of Economics (Polytechnic) in Wiener Neustadt in 2000. From 2000 to 2008, she studied Journalism, Communications and Political Science at the University of Vienna. In 2008, she received a Masters of Philosophy in the field of Journalism and Communications and Political Science. She is currently, a director of sales at M & M Textil GmbH. From 2002 to 2005 she was director of VVC Exploration Corp., a publicly traded company with properties in China and North America, where she assisted in public relation initiatives in Europe.

Mr. Volcic did not previously own any common shares and has acquired 1,245,000 common shares representing 18.6% of the issued and outstanding common shares of the Corporation. Ms. Kozich previously owned 1,000,000 common shares of the Corporation and has acquired an additional 235,000 common shares of the Corporation for a total of 1,335,000 representing 19.9% of the issued and outstanding common shares of the Corporation. These shares were acquired from Mr. Claude Ayache and Dr. Jean-Luc Berger in a private sale and continue to be held within the seed escrow agreement dated May 16, 2007.

Mr. Volcic's and Ms. Kozich's interest in the Corporation is for investment purposes only. Neither, Mr. Volcic or Ms. Kozich have any current intention of commencing a take-over bid for the Corporation. Mr. Volcic and Ms. Kozich reserves the right from time to time to purchase additional common shares or to dispose of common shares as circumstances warrant and permit.

In addition, on behalf of the board of directors and the shareholders of the Corporation, Mr. Claude Ayache would like to thank Dr. Jean-Luc Berger for his contribution since the inception of the Corporation, due to Dr. Berger resignation as a director for personal reasons. Concurrently with his resignation, Dr. Berger has agreed to have all of his 63,000 incentive stock options cancelled immediately.

The Corporation continues to pursue its previously announced proposed qualifying transaction (the "Transaction") with ArtKing Engineering Ltd. ("ArtKing"), and has approximately $300,000 in cash.

The current directors of the Corporation are: Mr. Paul R. Ankcom, Mr. Claude Ayache, Ms. Lydia Kozich, Mr. James W.G. Turner, and Mr. Klaus Volcic.

Completion of the Transaction is subject to a number of conditions, including but not limited to, TSX Venture Exchange acceptance and if applicable pursuant to TSX Venture Exchange Requirements, majority of the minority shareholder approval. Where applicable, the transaction cannot close until the required shareholder approval is obtained. There can be no assurance that the Transaction will be completed as proposed or at all.
