PowerRating -- Minefinders Corporation Ltd (Toronto: MFL.TO) (NYSE-A: MFN), a company
that mines and explores precious metals, reported on 21 November that
it has filed a preliminary short form universal base shelf prospectus
with all the provincial Securities Commissions in Canada, apart from
the province of Quebec, along with a similar registration statement on
Form F-10 with the US Securities and Exchange Commission.

When made final, these filings will enable the company to offer common
shares and warrants to purchase common shares, share purchase contracts
and subscription receipts (together, the Securities) or any combination
thereof up to an aggregate offering size of USD200m during the period
that the final short form universal base shelf prospectus remains
effective, for a year and a month. These Securities may be offered
separately or together, in amounts, prices and terms that will be
decided based on market conditions and set forth in a shelf prospectus
supplement.

The funding of ongoing operating requirements, maintaining capital
expenditures, development work at the Dolores Mine, exploration
activities, future acquisitions and for general corporate purposes is
expected to be done from the net proceeds of the sale of the Securities.

A registration statement, relating to these Securities, not effective
yet, has been filed with the US Securities and Exchange Commission and
Securities cannot be sold or sale offers accepted before the
registration statement becomes effective.
