Interwoven Inc signs definitive agreement to be acquired by Autonomy Corporation plc

PowerRating -- Interwoven Inc (Nasdaq: IWOV), a content management solutions provider,
reported on 22 January that it will be acquired, as per the definitive
agreement signed, by Autonomy Corporation plc (LSE: AU) (LSE: AU.L), an
infrastructure software company, for a total amount of USD775m.

As per the agreement, Interwoven will be acquired by Autonomy for
USD16.20 per share, in cash. The shares owned by directors and certain
executives of Autonomy and Interwoven have agreed to vote for the
acquisition, which is expected to close by the second quarter of 2009,
subject to shareholder approval by the companies, Hart-Scott-Rodino
antitrust clearance and other closing conditions.

Interwoven's products maximise online business performance and
organise, find and govern business content, while Autonomy's technology
helps them to understand the meaning of the interactions. The
combination of these two companies will assist corporations, law firms
and government regulators to find, analyse and manage people friendly
information.
