Stockholders voted to elect Carol L. Colman, Daniel P. Cronin and Paolo M. Cucchi as Class I Directors of the Fund to hold office until the annual meeting of stockholders in the year 2012 or thereafter until their respective successors are duly elected and qualified (Proposal 1).
A proposal submitted by a stockholder to open-end or liquidate the Fund (Proposal 2) was formally withdrawn by the stockholder on March 18. Management had recommended voting "Against" this proposal, a position which was supported by RiskMetrics Group ISS (ISS) and Glass, Lewis & Co., LLC (GLC), two independent proxy advisory firms.
