ONCY | Quote | Chart | News | PowerRating -- Oncolytics Biotech, Inc., a Canada-based pharmaceutical company, has acquired all the of the issued and outstainidng securities of an inactive private company.

Under the terms of the agreement, Oncolytics issued 1,875,121 common shares in its capital to former holders of private company securities in exchange for all of the issued and outstanding securities of private company.

Announcement (March 2, 2009):

Oncolytics has agreed to acquire an inactive private company.

Under the terms of the transaction, Oncolytics would issue its common shares at an exchange ratio calculated based upon an agreed premium to target's net cash per share at closing and using an ascribed price per common share of Oncolytics of $1.69. The transaction is expected to close in April 2009.
