US Express Scripts to buy WellPoint units for USD4.7bn

(NASDAQ: ESRX | Quote | Chart | News | PowerRating) said on 13 April 2009 it has agreed to acquire the NextRx
subsidiaries of local sector company WellPoint (NYSE:WLP) for
USD4.675bn (EUR6.2bn).

The subsidiaries offer pharmacy benefits management services to nearly
25 million Americans.

The operation "will create an organisation with greater resources and
capabilities, which will provide members with more cost-effective
solutions as well as access to state-of-the-art PBM services," Angela
Braly, president and CEO of WellPoint, said.

Under the agreed terms, Express Scripts will provide services to
WellPoint, which will retain control of medical policy, formulary and
integrated disease management in the subsidiaries for a ten-year period.

The move will enable Express Scripts and WellPoint to achieve optimal
health outcomes, George Paz, chairman and CEO of Express Scripts, said.

"This alliance also creates the potential to leverage our
behaviour-centric approach across the medical benefit," Paz added.

The deal is expected to be closed in the second half of 2009, upon
receipt of regulatory approvals.
