Exxon Mobil closed the refinery in Adelaide's south in 2003 after 40 years of operation.
Treasurer Kevin Foley said on Thursday that Exxon Mobil had agreed to demolish existing infrastructure and remediate the 239-hectare site.
"Once it has been remediated by the company it will be a prime piece of real estate," Mr Foley said.
Under the agreement, the company has two years to demolish structures and and 10 years to remediate the site, he said.
