D&E Shareholders To Vote Sept. 24 On $330 Million Sale To Windstream

Aug 20, 2009 (Intelligencer Journal/Lancaster New Era - McClatchy-Tribune Information Services via COMTEX) -- DECC | Quote | Chart | News | PowerRating -- D&E Communications will ask its shareholders next month to approve the firm's $330 million acquisition by Windstream Corp.

Meanwhile, D&E's 500 employees, including 340 in Lancaster County, continue to await word on their fate in the combined organization.

A special meeting of shareholders will be held Sept. 24 at 10:30 a.m. at the Brossman Business Complex, 124 E. Main St., Ephrata, where the company has its headquarters.

The meeting was disclosed in a proxy statement filed Monday with federal regulators. The proxy is to be mailed to D&E shareholders.

As previously reported, Windstream is offering $5 cash plus 0.65 shares of Windstream common stock for every outstanding share of D&E common stock.

Based on Windstream's recent stock price, the consideration for D&E shareholders would be valued at $10.56 a share, according to the proxy.

No vote of Windstream stockholders is required to complete the deal, now expected to be consumated in the fourth quarter.

With the shareholder vote approaching, Windstream, based in Little Rock, Ark., and D&E continue to study how to put the firms together.

Initially, D&E had predicted the plan would be finished in mid to late summer.

Windstream spokesman David Avery said in an e-mail that the two firms are still working "to evaluate overall staffing needs, identify duplicative functions and develop a detailed integration plan to provide a seamless transition for customers."

"So, it's premature at this time to speculate on the number of positions that will be affected through the transaction," he said.

A D&E spokesman could not be reached for comment.
