Vector Group Announces Private Offering of $60 Million Aggregate Principal Amount of 11% Senior Secured Notes

MIAMI, Aug 27, 2009 (BUSINESS WIRE) -- VGR | Quote | Chart | News | PowerRating -- Vector Group Ltd. (NYSE: VGR | Quote | Chart | News | PowerRating) (the "Company") announced today that it is offering $60 million aggregate principal amount of 11% Senior Secured Notes due 2015 (the "Notes") to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), to persons outside of the United States in compliance with Regulation S under the Securities Act and to a limited number of other institutional accredited investors within the meaning of Rule 501(a)(1), (2), (3) or (7) of the Securities Act. The Notes will be fully and unconditionally guaranteed on a joint and several basis by all of the wholly-owned domestic subsidiaries of the Company that are engaged in the conduct of the Company's cigarette businesses. The Company expects the Notes to be issued at a discount to par.

The Company intends to use the net proceeds of the issuance for general corporate purposes.
