Taisho Pharmaceutical acquires Tempra(R), Counterpain(R), Theragran-M(R), Engran(R), Ceetrus(R), and Keri(R) brands from Bristol
TSOPF | Quote | Chart | News | PowerRating -- Taisho Pharmaceutical Co., Ltd. has acquired the over-the-counter (OTC) assets of Bristol-Myers Squibb Company (BMS) in Asia Pacific excluding China and Japan. Both the Japan-based Taisho and US-based BMS are engaged in pharmaceutical business.
Announcement (September 15, 2009):
Taisho has entered into an agreement to acquire OTC assets of BMS in Asia Pacific excluding China and Japan.
Under the terms of the agreement, Taisho would acquire from BMS certain product registrations, trademarks, and related assets of selected pharmaceutical and OTC products sold primarily in Indonesia, Thailand, and The Philippines, as well as in other countries in the Asia Pacific region, including the rights to the Tempra(R), Counterpain(R), Theragran-M(R), Engran(R), Ceetrus(R), and Keri(R) brands.
The transaction also includes BMS' 97.97% stake in PT Bristol-Myers Squibb Indonesia Tbk, and the land, buildings, product registrations, intellectual property, fixed assets, inventory, and other related assets owned by BMSI as of the closing date.
The value of these transactions is approximately $310 million. The transaction is expected to close during the fourth quarter of 2009.
The Hongkong and Shanghai Banking Corporation is acting as financial advisor to BMS. Daiwa Securities SMBC Co., Ltd., KPMG FAS Co., Ltd., and KPMG Taxation Corporation are acting as financial advisors and Morrison & Foerster LLP is acting as legal advisor to Taisho Pharmaceutical.
